Laid Off by Oracle in Ontario? Your Severance, RSUs and What the First Offer Leaves Out
Oracle cut staff in two 2026 rounds, and its packages are usually built on the ESA minimums. Here is how an Ontario Oracle employee can measure the offer against common-law notice, unvested RSUs, commission and benefits before signing the release.

Key takeaways
- The Ontario ESA applies to Oracle Canada, not the Canada Labour Code. The ESA is only the minimum, and common-law reasonable notice is usually far longer.
- ESA severance pay applies to anyone with five or more years of service. Oracle Canada clears the $2.5 million payroll test easily. Service with Cerner or another acquired company generally counts too (ESA s. 9).
- RSUs, bonus and commission that would have been earned during the notice period are generally owed unless the plan wording clearly and unambiguously removes them.
- Benefits must continue through the ESA notice period. A release ends any long-term disability claim, so raise any health issue before you sign.
- Oracle must pay your ESA minimums whether or not you sign. Get the package measured against common-law notice before the deadline.

✅Quick answer. If Oracle Canada ended your job in Ontario, your package is probably built on the Employment Standards Act minimums, not on what you are actually owed. Most Oracle employees are entitled to common-law reasonable notice, which is usually far longer. They are also owed the RSUs, bonus, commission and benefits they would have earned during that period. Do not sign the release until the offer has been measured against that.
What happened at Oracle in 2026, and how many Canadians were affected?
Oracle ran two large rounds of cuts in 2026, starting on 31 March and 14 September. Reports say Canadian staff received termination notices in both rounds. Oracle has not confirmed how many people in Canada, or in Ontario, lost their jobs in either round, so treat any Canadian figure you see as an estimate.
| Date | What was reported | What is actually confirmed |
|---|---|---|
| 31 March 2026 | Early-morning termination emails went to staff in several countries, including Canada. One analyst estimate put global cuts as high as 30,000. | No official global or Canadian count. The 30,000 figure is an estimate. |
| March 2026 | Oracle's quarterly securities filing described a restructuring plan of about US$2.1 billion, mostly employee severance. | The plan and its cost. No breakdown by country. |
| 31 May 2026 | At fiscal year-end Oracle reported about 141,000 full-time employees, down from about 162,000 a year earlier. | A net drop of about 21,000. That figure mixes layoffs with ordinary attrition. |
| 14 September 2026 | A new round began, reported in the United States and India (some outlets give 15 September). Canadian staff were also affected. | A California filing lists 441 job cuts effective 13 November 2026. There is nothing official for Canada. |
Oracle's annual report links the cuts to its spending on AI and data-centre capacity and says more reductions may follow. For you, the total headcount matters less than two things. It can trigger Ontario's mass-termination rules (covered below), and it creates pressure to sign quickly because 'everyone is getting the same deal.' Everyone is not owed the same deal. Your notice depends on your own age, role, service and pay.
Does the Ontario ESA apply to Oracle Canada, or the Canada Labour Code?
The Ontario Employment Standards Act, 2000 applies. Oracle Canada ULC sells software, cloud services and consulting, which are provincially regulated businesses. The Canada Labour Code covers only federal undertakings such as banks, airlines, telecom carriers and interprovincial transport. An Oracle employee working in Ontario therefore relies on the ESA and on Ontario common law.
This matters because the federal unjust-dismissal system works differently (see how federally regulated employees are treated). For Oracle staff in Ontario, the ESA sets a floor. Common-law reasonable notice sits on top of that floor unless a valid written termination clause limits it. If a US entity hired you but you work from Ontario, the ESA still generally covers your Ontario work. Which Oracle company employs you can also matter, because a parent company that directs and pays you can be a common employer.
What are the ESA minimums for an Oracle employee?
Under the ESA, Oracle must give written notice or termination pay of one week per year of service, up to eight weeks (ss. 54 and 57). If you have five or more years of service, it must also pay severance of one week per year, up to 26 weeks (ss. 64 and 65). Your benefits must continue through the statutory notice period.
- Termination notice or pay (ss. 54, 57): one week after one year of service, rising to eight weeks at eight years or more.
- Severance pay (ss. 64(1), 65): for employees with five or more years of service, one week per completed year plus a prorated partial year, capped at 26 weeks.
- Pay and benefits during the statutory period (ss. 60, 61): Oracle cannot cut your wages or change your terms during the statutory notice period. It must keep contributing to your benefit plans, whether you work out the notice or receive pay in lieu.
- Mass termination (s. 58): longer notice applies if 50 or more people are let go at one establishment within four weeks (see below).
These are minimums. A package that offers exactly these amounts, or these amounts plus a few weeks 'for the release', is usually a fraction of what a court would award. Our guide to Ontario severance pay explains how the pieces fit together.
Does ESA severance pay apply at Oracle?
Yes, for anyone with five or more years of service. Section 64(1) gives severance pay when the employer's payroll is $2.5 million or more. That test is not limited to wages paid in Ontario; payroll earned elsewhere counts too. Oracle Canada clears the threshold on its Canadian payroll alone, so this should not be a realistic point of dispute.
Section 64(1) has a second route: 50 or more terminations within six months because part of the business at one establishment closes permanently. You do not need it once the payroll test is met. Watch for two errors instead. The first is a package that leaves out ESA severance for someone with five years of service. The second is a package that miscounts service. The five-year mark counts all your employment, including time before an acquisition (next section).
Does my service with Cerner or another acquired company count?
Usually, yes. If you came to Oracle through an acquisition such as Cerner (bought in 2022), ESA s. 9 treats your service with the seller as service with the buyer when a business is sold and the buyer keeps you on. If Oracle bought the shares of your employer instead, your employer never changed, so your service simply continues.
Service carried over this way counts toward ESA notice, the five-year severance threshold and the 26-week cap. At common law, courts usually count the earlier years too when they set reasonable notice, especially if no one told you your service was being reset. Check whether your Oracle offer letter tried to restart your service date. A clause like that often cannot be enforced against your ESA rights. More in our guide to continuity of service after a sale of business.
How much notice is an Oracle employee owed at common law?
Unless a valid termination clause limits you to the ESA, you are owed reasonable notice at common law. It is set by the factors in Bardal v. Globe & Mail Ltd., 1960 CanLII 294 (ON SC): your age, length of service, the character of your job and the availability of similar work. For senior tech and sales staff, that is often many months, not weeks.
The character of the job carries real weight for Oracle staff. A principal engineer, cloud architect or enterprise account executive competes for a small pool of comparable roles. In 2026 that pool is also crowded with people laid off from other large tech firms. Short service is not fatal either. Senior hires recruited away from secure jobs can recover more than their years of service alone suggest. See severance for tech workers in Ontario for how courts treat tech roles.
Your contract matters. If your offer letter has a termination clause, every part of it must comply with the ESA. Under Waksdale v. Swegon North America Inc., 2020 ONCA 391, one non-compliant provision voids the whole termination scheme, for example a for-cause clause that promises less than the ESA requires. Under Machtinger v. HOJ Industries Ltd., [1992] 1 SCR 986, common-law notice then applies. Many tech-company clauses fail this test (how to check yours).
What does the gap between the ESA and common law look like in dollars?
For a mid-career Oracle employee, common-law damages are often four to six times the ESA package. The two examples below use typical figures to illustrate the gap. They are not predictions; your own number depends on your facts and on any enforceable contract.
| Senior engineer (age 46, 9 years) | Sales rep (age 39, 4 years) | |
|---|---|---|
| Pay | $190,000 base, 15% bonus target, about $90,000 a year in RSUs | $100,000 base plus about $110,000 a year in commission |
| ESA notice (s. 57) | 8 weeks | 4 weeks |
| ESA severance (s. 65) | 9 weeks | None (under 5 years) |
| ESA total | 17 weeks of base, about $62,100, plus 8 weeks of benefits | 4 weeks of earnings including commission, about $16,200 (about $7,700 if wrongly calculated on base only) |
| Illustrative common-law notice | 12 months | 6 months |
| Common-law damages | Base $190,000, bonus $28,500, RSUs vesting in the window about $90,000, plus benefits: roughly $310,000 or more | Base and commission about $105,000, plus benefits and any RSUs vesting in the window |
The ESA amounts are part of the common-law figure, not added on top. Common-law damages also depend on your duty to look for work. A new job during the notice period can reduce what you are owed, unless your package is a fixed lump sum. Our severance package review runs this calculation on your actual numbers.
What happens to my unvested Oracle RSUs, ESPP and bonus?
RSUs and bonus you would have received during the notice period are generally part of your damages, unless the plan clearly and unambiguously takes them away. Under Matthews v. Ocean Nutrition Canada Ltd., 2020 SCC 26, wording that only requires you to be 'actively employed' on the vesting or payout date is not enough to remove that right.
The test asks two questions. Would you have received the award during the notice period? If so, does the plan wording unambiguously take that right away? Paquette v. TeraGo Networks Inc., 2016 ONCA 618 applies the same reasoning to annual bonuses. Most Oracle employees can see the forfeiture terms only in the equity portal or the grant agreement, so download them now, before your access is cut off. For the ESA notice period itself, the protection is stronger. In Wigdor v. Facebook Canada Ltd., 2026 ONCA 572 (released August 2026 and still new law), the Court of Appeal held that clauses ending vesting on termination are void for that period. The reason is that ESA s. 60 forbids changing any term of employment during statutory notice.
- List every tranche with a vest date inside your notice period, both the ESA period and the longer common-law period. Your grant agreement sets the vesting dates.
- Multiply the units by a share price. Oracle trades on the NYSE in US dollars, so convert the result to Canadian dollars. Which date's price applies (the termination date, each vest date, or trial) is often negotiated, and a moving stock price changes the number a lot.
- Add the ESPP discount you would have captured on any purchase dates inside the notice period. Shares you have already bought are yours. What you lose is the discount on purchases you would have made.
- Separate out deferred awards that were earned during the notice period but vest later. In Bain v. UBS Securities Canada Inc., 2018 ONCA 190, deferred notional shares earned during notice were recoverable even though they vested after the notice period ended.
Our guides on RSUs and stock options after termination and valuing equity vesting during the notice period walk through the math in detail.
Can Oracle sales staff claim commission and quota payouts?
Yes. Commission you would have earned during the notice period is part of your damages. It is usually measured by your average commission over a representative period, often two or three years, rather than your worst quarter. Deals you worked on that close after you leave, and accelerators you were on track to hit, can also be claimed unless the plan clearly excludes them.
Oracle's fiscal year ends on 31 May. A rep cut in September loses most of a plan year, and a rep cut on 31 March loses the final quarter, which is often the biggest. Look for three problems in a package. The first is ESA termination pay calculated on base salary only, when commission must be counted. The second is no allowance for commission over the common-law notice period. The third is a release that waives commission already earned on booked deals. Plan wording such as 'must be employed on the payment date' faces the same strict test as bonus and RSU forfeiture language. More in our guide to severance for commission sales employees.
Do my benefits and LTD continue during the notice period?
Oracle must keep contributing to your benefit plans through the ESA notice period (ss. 60 and 61). After that, coverage usually stops, but at common law the lost benefits are part of your damages for the full notice period. The biggest gap is long-term disability. If you become disabled after coverage ends, nothing replaces it unless your claim is preserved.
Suppose Oracle ends LTD coverage before your common-law notice period is over, and you become disabled in that gap. The employer can then be liable for the disability benefits you would have received; that was the result in Egan v. Alcatel Canada Inc., 2006 CanLII 108 (ON CA). Signing a release ends that claim. Group life insurance often has a short conversion window (commonly 31 days), while LTD usually cannot be converted at all, so ask about both in writing right away. See our guide to benefits after termination.
Do Ontario's mass termination rules apply to the Oracle layoffs?
They apply if Oracle terminated 50 or more employees at one Ontario establishment within four weeks. In that case, ESA s. 58 and O. Reg. 288/01 require 8, 12 or 16 weeks of notice (for 50 to 199, 200 to 499, and 500 or more employees). Oracle must also file a notice with the Director of Employment Standards. Oracle has not published any Ontario numbers.
There is an exception. The longer notice does not apply if two conditions are met: the terminations are no more than 10% of the employees at the establishment who have worked there at least three months, and the cuts are not caused by permanently closing all or part of the business. Since 2023, the ESA counts remote employees toward the establishment they are assigned to or report to, so home-based Oracle staff can be part of the count. If the rules apply, the longer statutory notice raises your ESA floor and extends the benefits that must continue with it. Our guide to mass termination and group layoffs explains how to find out whether a notice was filed.
Should I take a lump sum or salary continuance, and how does each affect tax and EI?
A lump sum gives certainty and usually cannot be reduced if you find a new job quickly. Salary continuance spreads out your income and can keep benefits running, but it may stop when you start new work. Either way, severance is taxable income. It generally delays when your EI starts rather than cancelling it.
- Withholding on a lump sum: outside Quebec, the employer withholds 10% on payments up to $5,000, 20% on payments over $5,000 up to $15,000, and 30% on payments over $15,000. That is withholding, not your final tax. A large payment can push you into a higher bracket for the year.
- RRSP transfer: you can ask Oracle to pay part of the severance directly into your RRSP, up to your available contribution room, with no tax withheld on that portion.
- Timing: splitting a payment across two calendar years, for example December and January, can lower your total tax.
- Legal fees: fees you pay to recover severance are generally deductible against it.
- EI: Service Canada generally treats severance and pay in lieu as earnings that push back the start of your EI benefits. Apply within four weeks of your last day anyway. Temporary federal measures have at times changed how severance money is treated, so check the rules in force when you apply.

What does signing the Oracle release give up?
Signing the release usually ends every claim arising from your employment. That includes the gap between the offer and common-law notice, RSUs and bonus over the notice period, commission, human rights claims and, critically, any long-term disability claim. A signed release is hard to undo, so the time to measure the offer is before the deadline, not after.
Oracle must pay your ESA minimums whether or not you sign. It cannot make them conditional on a release (what to do if it does). If you have any health issue that could become a disability claim, raise it before signing (how releases end LTD claims). Employers often extend a signing deadline when asked, and a missed deadline does not end your legal rights (does a severance offer expire?). For the bigger picture, read should you sign a severance offer.
What should I do before the signing deadline?
Use the time before the deadline to collect your documents, value every part of your pay, and have the offer measured against common-law notice. The steps below take a few days. Almost all of them depend on records you can lose access to once your Oracle accounts are closed, so start now.
- 1.Write down your termination date, the signing deadline and who sent the package. If you need more time, ask for an extension in writing.
- 2.Save your offer letter, any later contracts, your termination letter and your service date, including service with Cerner or any other acquired company.
- 3.Download your equity statements, grant agreements and the RSU and ESPP plan documents, with every vest date for the next two years.
- 4.Collect your commission plan, quota letter, pipeline report and the last two or three years of commission statements. For your bonus, get the plan document and your past payouts.
- 5.Get the benefits booklet, including the LTD policy, and the conversion deadlines for life and health coverage.
- 6.Check whether the package pays ESA severance if you have five or more years of service, and whether the ESA amounts include commission.
- 7.Do not resign. Do not sign anything, including an exit acknowledgement or an equity forfeiture notice, until it has been reviewed.
- 8.Apply for EI within four weeks of your last day, and start a job search you keep records of.
- 9.Have an employment lawyer review the package before the deadline.
An Oracle package built on the ESA minimums is a starting offer, not a measure of what you are owed. The real number comes from common-law notice, plus the RSUs, bonus, commission and benefits that would have accrued during it. Before you sign, read our guides on Ontario severance pay, RSUs vesting during the notice period and severance for tech workers, or ask us for a severance package review.
How we can help
Frequently asked questions
Is Oracle's severance package negotiable?
Usually, yes. Packages built on the ESA minimums often leave a large gap compared with common-law reasonable notice, which also covers RSUs, bonus, commission and benefits over the notice period. Oracle must pay your ESA minimums whether or not you sign, so negotiating does not put those at risk.
Do I lose my unvested Oracle RSUs when I am laid off?
Not necessarily. RSUs that would have vested during your notice period are generally part of your damages unless the plan wording clearly and unambiguously removes them. A simple requirement to be actively employed on the vesting date is not enough. Download your grant agreements and plan documents before your access ends.
I joined Oracle through the Cerner acquisition. Does my Cerner service count?
Generally, yes. ESA s. 9 carries your service across a sale of business, and if Oracle bought your employer's shares, your employer never changed. Your earlier service counts toward ESA notice, the five-year severance threshold and, usually, common-law notice.
Does the Canada Labour Code apply to Oracle employees in Ontario?
No. Oracle Canada's software, cloud and consulting business is provincially regulated, so Ontario employees are covered by the Employment Standards Act, 2000 and Ontario common law. The Canada Labour Code covers federal undertakings such as banks, airlines and telecom carriers.
