Google Buyouts and Layoffs in Canada: What Ontario Googlers Are Owed Before Signing

Google has confirmed it offered voluntary exit packages to some Canadian employees starting in June 2026. Here is how an Ontario Googler can value a buyout against a without-cause dismissal, including GSUs, bonus and benefits over the notice period, before the deadline runs out.

A thoughtful man sits by a window with his hands clasped, seriously weighing a decision.

Key takeaways

  • Compare the buyout with a without-cause dismissal, not against nothing: ESA minimums, common-law notice, and the bonus, GSUs, benefits and RRSP match over that notice period.
  • Check your termination clause first. If it is unenforceable, a later layoff is worth full common-law notice and most buyouts are a steep discount; if it is enforceable, the buyout may beat what a layoff would pay.
  • Read your Alphabet GSU award agreements for forfeiture wording and pull your acceptance history before assuming unvested units are gone.
  • Treat declining as a safe legal choice: saying no is not a resignation and does not shrink the notice you are owed if you are laid off later.
  • Confirm the ROE wording, the release scope and the payment form in writing before you sign, including whether human rights and LTD claims are being released.

✅Quick answer. Google confirmed it began offering voluntary exit packages to some Canadian employees in June 2026. A buyout trades your job and your legal claims for a set payment. Value it against a without-cause dismissal, including bonus, GSUs and benefits over the notice period. Declining is not resigning and costs you no legal right.

Did Google really offer buyouts to Canadian employees?

Yes. In a Reuters report published November 4, 2026, a Google spokesperson confirmed that the company began offering voluntary exit packages in June 2026 to some employees in Canada, France, Germany, Japan and Switzerland. Google has not said which Canadian teams were eligible, how many people accepted, or what formula Canadian packages used.

What is a Google buyout, legally, if you work in Ontario?

A buyout is a release-for-money deal, not a gift. You agree to leave, Google pays a set amount, and you sign a release giving up claims arising from your employment, including ESA termination pay, ESA severance pay and common-law reasonable notice. Whatever the package says is usually everything you will ever receive.

How the exit is structured matters. If the paperwork treats it as a resignation, the ESA termination rules in ss. 54 to 61 and the severance rules in ss. 63 to 65 are usually not triggered at all. If it treats it as a without-cause termination you volunteered for, the ESA minimums apply and cannot be waived: under ESA s. 5(1), no one can contract out of the statute, and a release does not change that. The ESA severance trigger in s. 64 (a payroll of $2.5 million or more) is plainly met by Google, so anyone with five or more years of service would qualify.

Google's Canadian operations are provincially regulated, so an Ontario Googler is covered by the ESA and Ontario common law, not the Canada Labour Code. The federal unjust dismissal regime discussed in Wilson v. Atomic Energy of Canada Ltd., 2016 SCC 29 applies to banks, telecoms, airlines and other federal undertakings, not to a search and advertising company. For the general framework, see voluntary buyout vs layoff in Ontario.

How does a Google buyout compare with what a layoff would be worth?

For most mid and senior Googlers, a buyout pays less than a without-cause dismissal would be worth at common law, unless your termination clause validly limits you to the ESA minimums. Reasonable notice turns on the factors in Bardal v. Globe & Mail Ltd., 1960 CanLII 294 (ON SC): character of the job, length of service, age, and how easily similar work can be found.

The table uses an illustrative buyout of four weeks' pay per year of service, capped at 52 weeks. Google has not published a Canadian formula, so swap in the number in your own letter. The common-law ranges are realistic estimates for specialised tech staff, not promises.

Profile (illustrative)Buyout at 4 weeks per year, 52-week capESA minimum (termination pay + severance pay)Realistic common-law notice
3 years, L4, age 3012 weeks3 weeks (no severance pay under 5 years)4 to 7 months
8 years, L5 or L6, age 3832 weeks (about 7.4 months)16 weeks (8 + 8)9 to 13 months
15 years, L6 or L7, age 4752 weeks (the cap)23 weeks (8 + 15)15 to 21 months

The gap is bigger than the weeks suggest. Buyouts are usually calculated on base salary, while common-law damages cover total compensation over the notice period: base, bonus, GSUs that would have vested, benefits and RRSP matching. Long service lifts the range, but 24 months is the practical ceiling outside exceptional cases (Dawe v. The Equitable Life Insurance Company of Canada, 2019 ONCA 512). Discount the common-law number for the chance that no layoff ever comes, and for the cost and time of getting it. More on how courts value tech roles is in severance for tech workers in Ontario.

Does your termination clause change the math?

Yes, more than anything else. If your offer letter has an enforceable clause limiting you to ESA minimums, a later layoff pays roughly the third column of the table, and a buyout may beat it. If the clause is unenforceable, or you have none, a later layoff is worth the fourth column, and the buyout is a discount.

Ontario courts read these clauses strictly. Under Waksdale v. Swegon North America Inc., 2020 ONCA 391, one offside provision, such as a just-cause clause that would deny ESA pay for conduct short of wilful misconduct, voids all the termination provisions, even the parts that are fine on their own. Seniority does not rescue a bad clause: in Rahman v. Cannon Design Architecture Inc., 2022 ONCA 451, the executive's sophistication and independent legal advice did not save a clause that offended the ESA. Once a clause fails, common-law reasonable notice applies (Machtinger v. HOJ Industries Ltd., [1992] 1 SCR 986). Check yours with is my termination clause enforceable before you value any offer.

What happens to your GSUs and RSUs during the notice period?

If you are dismissed without cause, units that would have vested during the notice period are often recoverable as damages, unless the plan clearly removes that right and the wording was properly brought to your attention. Under a buyout, unvested units usually stop vesting on your exit date unless you negotiate otherwise.

The test comes from Matthews v. Ocean Nutrition Canada Ltd., 2020 SCC 26: would the award have vested during the reasonable notice period, and if so, does the plan wording unambiguously take that right away? Wording that requires you to be an active employee on the vesting date is not enough on its own (Paquette v. TeraGo Networks Inc., 2016 ONCA 618). Plan wording can still win. In Battiston v. Microsoft Canada Inc., 2021 ONCA 727, the Court of Appeal reversed the trial decision (2020 ONSC 4286) and enforced a stock award forfeiture clause because the employee had accepted the award agreement containing it, year after year.

The statutory notice period may be protected whatever the wording says. In Wigdor v. Facebook Canada Ltd., 2026 ONCA 572, a recent (August 2026) Court of Appeal decision, RSUs that would have vested during the notice period were recoverable, and clauses ending vesting on termination were held void for the ESA notice period because ESA s. 60(1)(a), applied through s. 61(1)(a), bars altering any term of employment during that period. It is new and may yet be refined, but it matters for any Googler.

When you read your Alphabet award agreements and the stock plan, look for:

  • How "service" or termination of service is defined, and whether it ends on your last day worked or at the end of any notice period.
  • Whether vesting stops expressly regardless of notice or pay in lieu, or only on cessation of active employment.
  • Your acceptance record for each grant: when you clicked accept and what was linked at the time.
  • Any continued or accelerated vesting for involuntary termination, leave, or participants in the exit program.

For more detail, see RSUs and stock options after termination.

Is your annual bonus owed for the notice period?

Usually, yes. Where the annual bonus is an integral part of your pay, as it is for most Googlers, a without-cause dismissal entitles you to damages for the bonus you would have earned during the reasonable notice period, including a pro rata share of the current year, unless the plan unambiguously says otherwise.

The same two-part test from Matthews v. Ocean Nutrition Canada Ltd., 2020 SCC 26 applies. A clause requiring you to be employed or in good standing when bonuses are paid does not bar the claim, and you can recover a share of the year worked and the notice period even if the payout date falls after the notice period ends (Andros v. Colliers Macaulay Nicolls Inc., 2019 ONCA 679). A buyout often says nothing about the bonus, which means it is gone. Ask for a pro rata bonus for the current year at target or better.

What about benefits, pension and RRSP matching during the notice period?

During the ESA notice period your benefits must continue: ESA s. 60(1)(c) requires the employer to keep making benefit plan contributions, and s. 61(1)(b) applies the same rule when pay is given in lieu of notice. At common law, you can claim the value of benefits for the full reasonable notice period.

Benefits are valued at what it would cost to replace them, and you do not have to prove you actually spent that money (Singer v. Nordstrong Equipment Limited, 2018 ONCA 364). Pension accrual that would have occurred during the notice period is recoverable too (Taggart v. Canada Life Assurance Company, 2006 CanLII 53345 (ON CA)), and employer RRSP matching is compensation on the same logic. Disability cover deserves special care: an employer that ends it before the notice period runs out can be liable for the disability benefits you would have received (Egan v. Alcatel Canada Inc., 2006 CanLII 108 (ON CA)). A buyout normally ends LTD cover soon after you leave, so if you have a health issue, deal with it before you sign.

What is the risk of saying no to a Google buyout?

Legally, declining costs you nothing. Turning down a buyout is not a resignation, and it does not reduce the notice you are owed if you are laid off later. A resignation must be clear and unequivocal (Kieran v. Ingram Micro Inc., 2004 CanLII 4852 (ON CA)), and saying no to an offer is neither.

The risk is practical. A later involuntary package might be smaller, and if your termination clause is enforceable, you could be held to ESA minimums, which may be less than the buyout. If your clause is unenforceable, a later layoff entitles you to full common-law notice, so declining may be the better bet. If a layoff of 50 or more employees at one establishment follows within four weeks, ESA s. 58 and O. Reg. 288/01 require longer notice (8, 12 or 16 weeks depending on how many are let go) and notice to the Ministry. Voluntary resignations generally do not count toward that 50.

Does mitigation work differently for a buyout than for a layoff claim?

Yes. A buyout is a contract price: once signed, you keep every dollar even if you start a new job the next week. A common-law damages claim for a layoff is reduced by what you earn in a new job during the notice period, because of the duty to mitigate (Evans v. Teamsters Local Union No. 31, 2008 SCC 20).

ESA termination and severance pay are never reduced by mitigation. If a package is paid as salary continuance, read whether it stops or shrinks when you find work; a lump sum or a continuance with no mitigation clause is worth more to anyone likely to land a new role quickly, which describes many Googlers. See the duty to mitigate.

How does a buyout affect EI compared with a layoff?

A layoff qualifies you for EI; a plain quit usually does not. But EI rules include a workforce-reduction exception: if your employer confirms that your voluntary departure under a downsizing program protected another employee's job, leaving does not disqualify you. Ask Google HR to confirm that in writing and to describe it that way on your ROE.

An ROE coded E (quit) with no explanation invites a denial. Either way, the buyout payment is treated as separation money and delays when EI benefits start. More on this in quitting vs being fired: EI and severance.

How is a Google buyout taxed, and can you put it in an RRSP?

A buyout payment is generally a retiring allowance for tax purposes. It is fully taxable, and tax is withheld at source (outside Quebec, 10% on lump sums up to $5,000, 20% up to $15,000 and 30% above). You can have it paid directly into your RRSP up to your available contribution room, which avoids withholding on that portion.

The special rollover beyond your room applies only to service before 1996, so few Googlers can use it. Legal fees paid to obtain a retiring allowance are generally deductible. Damages for lost GSUs and bonus can be taxed differently from a buyout; see is severance taxable and plan the timing across tax years.

Can you undo a Google buyout you already signed?

Rarely, but it is possible in narrow cases. A release can be set aside as unconscionable where there was a real inequality of bargaining power and an improvident bargain (Uber Technologies Inc. v. Heller, 2020 SCC 16). And if the exit was a termination, any shortfall below the ESA minimums is still owed, because ESA s. 5(1) makes them impossible to waive.

Courts are slow to undo a release signed with time to consider it and the chance to get advice; Swampillai v. Royal & Sun Alliance Insurance Company of Canada, 2018 ONSC 4023, aff'd 2019 ONCA 201 is a reminder that signed releases usually stand. A lack of independent legal advice is a factor but not decisive on its own. Other grounds include misrepresentation about the package or plan terms. If you think you signed too fast, act quickly: limitation periods run.

What should you check before signing a Google buyout?

Check the deadline, how the exit is characterised, what the release covers and what happens to your equity, bonus and benefits. Most of these points are negotiable before signing and almost none are after. Use this list with should I sign a severance release.

  • Offer expiry: the acceptance deadline, and whether a short extension is available for legal review.
  • Characterisation: resignation or without-cause termination, and the ROE code and comment Google will use.
  • Termination clause: your original offer letter and any later contract you signed.
  • Equity: every GSU award agreement, the plan, your acceptance history, and whether any vesting continues or accelerates.
  • Bonus: a pro rata bonus for the current year, in writing.
  • Benefits: how long health, dental and life cover continue, LTD conversion rights, and any pending claims.
  • Release scope: whether it releases human rights claims, LTD claims and unpaid wages, with carve-outs for vested equity, expenses and indemnities.
  • Payment form: lump sum or continuance, any mitigation clause, and direct RRSP transfer.
  • Other terms: non-disparagement, confidentiality, non-solicit, and an agreed reference.

What should an Ontario Googler do next?

Gather your documents, run both numbers, and get advice before the deadline. The decision is not buyout versus nothing; it is buyout versus what a dismissal would really be worth to you, adjusted for the chance one never comes.

  1. 1.Collect your offer letter, any later contracts, every GSU award agreement, the stock plan, the bonus plan, the buyout letter and the draft release.
  2. 2.Work out your ESA minimums and a realistic common-law range on total compensation, including GSUs vesting in the notice period.
  3. 3.Have the termination clause and equity wording reviewed before the offer expires.
  4. 4.Negotiate: extra weeks, continued vesting, a pro rata bonus, longer benefits, a narrower release and the right ROE wording.
  5. 5.Sign only when the release scope, payment form and ROE are confirmed in writing.

Frequently asked questions

Did Google offer voluntary buyouts to employees in Canada?

Yes. Google confirmed to Reuters, in a report published November 4, 2026, that it began offering voluntary exit packages to some employees in Canada in June 2026, along with France, Germany, Japan and Switzerland. Google has not disclosed the eligible Canadian teams, the Canadian severance formula or how many people accepted.

If I turn down a Google buyout, can I still get severance if I am laid off later?

Yes. Declining a buyout is not a resignation and does not reduce what you are owed. If you are later dismissed without cause, you are entitled to your ESA minimums and, unless an enforceable termination clause limits you, common-law reasonable notice on your total compensation.

Will I lose my unvested GSUs if I accept a Google buyout?

Usually, unless you negotiate continued vesting, because you are agreeing to leave and releasing your claims. In a without-cause dismissal, by contrast, units that would have vested during the notice period are often recoverable as damages, depending on the plan wording and how it was brought to your attention.

Can I collect EI after accepting a Google voluntary exit package?

Possibly. A plain quit usually disqualifies you, but EI has a workforce-reduction exception where the employer confirms your departure protected another employee's job. Ask Google to confirm that in writing and to reflect it on your ROE. The buyout payment will delay when benefits begin.
