PayPal Layoffs: What Ontario Employees Are Owed in Severance
PayPal employees in Ontario have a floor under the Employment Standards Act and, in most cases, a claim well above it. The termination clause, the equity plan and the letter's deadline decide how far above.

Key takeaways
- Check your years of service against the 5 year line. Below it there is no ESA severance pay, only notice weeks; above it the severance weeks add up year by year to a cap of 26.
- Check your start date, including any earlier stint with the company. ESA s. 65(2) counts all time in the employer's employ, continuous or not, and a low service figure shrinks every number on the page.
- Check the for cause paragraph of your termination clause first. It is the sentence most likely to break the ESA, and a clause that promises notice weeks but says nothing about benefits or severance pay is suspect too.
- Check every vesting date in your equity plan against the end of a common law notice period, not your last day. Each grant that vests inside that window belongs in the number.
- Check the package for benefits and pension contributions, not only base pay. Employer contributions over the notice period are part of the loss, and a package that lists salary alone is short.

✅Quick answer. PayPal is cutting about 20% of its global workforce over the next few years. If your Ontario job goes, you are owed the ESA minimum in weeks, and, unless an enforceable termination clause caps you, common law reasonable notice in months, including the bonus and equity that would have vested in those months.

What should you do in the first 48 hours?
- The letter's date is the employer's choice, not a legal deadline; ask in writing for more time.
- Do not sign anything, including the release; do not resign or accept a resignation framing.
- Keep every document: letter, contract, bonus and equity plans, pay stubs, Record of Employment when it issues.
- Note the date, who told you and what was said.
- Apply for EI online once your last day of work has passed. Do not wait for the Record of Employment: applying more than 4 weeks after your last day can cost you benefits.
👥If your colleagues got the same letter. Compare notes on what each of you was offered. Count how many people at your location received a letter in the same 4 weeks, because 50 or more changes the ESA minimum. Do not sign together on the employer's timetable. Keep the letters; the count matters and they prove it.
Does Ontario law apply if your employer is American?
Yes. Ontario law governs an Ontario employee wherever the parent company sits and whichever entity signs your pay, and a US head office changes nothing about that. The US WARN Act is an American statute and gives you nothing here; the Employment Standards Act, 2000 and the common law of reasonable notice set what you are owed.
What is the ESA minimum for a layoff this size?
Under s. 57 of the ESA, once you have passed 3 months, you are owed 1 week of notice under a year of service, 2 weeks from 1 to 3 years, then 1 week for each completed year, up to 8 weeks. If PayPal gives working notice, s. 60 keeps your full wages and benefits running until it expires. Section 61 lets PayPal skip the working notice and pay that amount as a lump sum of termination pay instead, as long as it keeps your benefits up for the same weeks.
If 50 or more people at your location get letters in the same 4 weeks, s. 58 lifts that floor to between 8 and 16 weeks depending on the count; the count is per location, not company wide, and the mass termination rules set out the tiers.
Severance pay under s. 64 is a separate payment on top of notice, and it is the one many tech packages leave out. You qualify with 5 or more years of service at an employer with a payroll of $2.5 million or more, a test a company of PayPal's size likely clears, though it turns on which entity employs you.
Section 65 sets the amount at 1 week of regular wages for each year of service, plus a fraction for the extra months, capped at 26 weeks. Both add together, and both are the floor, not the offer to accept; severance pay in Ontario walks through the numbers.
What are you actually owed at common law?
The first package is usually built on the ESA floor, and the common law usually sits well above it. How far above turns on your age, length of service, the character of your role and the availability of similar work, the factors from Bardal v. Globe & Mail Ltd., 1960 CanLII 294 (ON SC).

What do tech severance packages usually get wrong?
- Unvested RSUs and options. Wigdor v. Facebook Canada Ltd., 2026 ONCA 572, a 2026 Court of Appeal decision, held that RSUs vesting inside the notice period are recoverable. Plan wording that stops vesting at termination is void for the statutory notice period under ESA s. 60(1)(a). O'Reilly v. IMAX Corporation, 2019 ONCA 991 covers the common law period.
- The bonus. Actively employed wording does not defeat it; Paquette v. TeraGo Networks Inc., 2016 ONCA 618 held the bonus earned across the notice period is part of the damages.
- The termination clause. If one sentence in the termination section breaks the ESA, often the for cause paragraph, the whole clause fails and you are back to common law notice: Waksdale v. Swegon North America Inc., 2020 ONCA 391.
- The release. Signing it ends every claim above, whatever the letter's date says.
The notice period is a runway. A new job inside it generally reduces what is owed for the remaining months and does not erase the claim. EI and earnings in the ESA weeks are not deducted; Brake v. PJ-M2R Restaurant Inc., 2017 ONCA 402 held earnings from a substantially lesser job are not deducted either.
What should you do before you sign?
The release is the one thing on the page that cannot be undone, so get the numbers checked before you sign it, not after. A free severance review is the place to do that; the firm works on a percentage of what it recovers, and there is no fee if nothing is recovered.

Frequently asked questions
What happens if the date on the letter passes and I have not signed?
Your ESA entitlements do not depend on signing anything; they are owed whether or not you ever sign, and a letter that ties termination pay to the release is wrong. The part above the floor is an offer, and an employer can in theory withdraw it. In practice a written request for two weeks is almost always granted, so send the extension email above and keep the reply.
My package is above the ESA minimum. Is that enough?
Above the minimum is the starting point, not the test. The question is how far above, measured against the common law months for your profile and the bonus, equity and benefits that fall inside them. A package that beats the ESA by 2 weeks can still sit several months below what a court would award.
Do I lose RSUs that are scheduled to vest after my last day?
Not automatically. Grants that would have vested inside the notice period are part of the loss, and Wigdor v. Facebook Canada Ltd., 2026 ONCA 572, a 2026 Court of Appeal decision, held that plan wording ending vesting at termination is void for the statutory notice period. Grants scheduled to vest after the notice period ends are generally gone, so the length of the notice period decides how much equity is in play.
Can PayPal call this a temporary layoff instead of a termination?
Only if your contract gives it that right. Without one, a layoff is a dismissal from the day it starts, and even with one the ESA (s. 56) turns a layoff into a termination once it runs past the statutory limit. Treat a layoff notice the way you would treat a termination letter: do not sign, and get it reviewed.
